Company formation in Saudi Arabia starts with one question: who is the founder? Saudi nationals register directly through the Saudi Business Center. Foreign investors start with investment registration at the Ministry of Investment (MISA). Founders with an innovative idea can use the Entrepreneur License route, backed by a support letter from an accredited business incubator such as Jewark, which offers this service.

What Changed in Saudi Company Formation Rules?

Three laws reshaped business setup in Saudi Arabia in recent years:

  1. The Investment Law (in force since February 2025) replaced the foreign investment license with investment registration. A foreign investor registers with MISA before starting any investment activity, then obtains the CR and the licenses required by other authorities. The Implementing Regulations set a short period for MISA to notify the investor once a complete application for a non-excluded activity is filed.
  2. The Commercial Register Law and the Trade Names Law (in force since 3 April 2025) introduced one CR for all of an establishment's activities. The unified national number, starting with 7, is now its only identifier. The CR no longer expires; an annual confirmation of its data replaces renewal. Linking a bank account to the CR is now mandatory, and activity licenses are obtained as each activity requires.
  3. The Companies Law (in force since 19 January 2023) sets five company forms, including the new simplified joint stock company, and allows a limited liability company to be owned by a single person.

How to choose: an LLC suits most projects. If you plan to bring in investors or grant employee shares, an SJSC is often the better fit. A branch suits a company that wants ownership and decisions to stay with the parent.

Company Formation Routes in Saudi Arabia: Which One Is Yours?

1. Saudi investors

Saudi founders set up a company or sole proprietorship directly on the Saudi Business Center platform of the Ministry of Commerce, signing in through the National Single Sign-On (Nafath). They choose the entity, activity, trade name and capital, notarize the articles of association, and the CR is issued online. No investment registration is required as long as all partners are Saudi. 2. GCC investors

Citizens of the Gulf Cooperation Council states are treated like Saudi nationals in most economic activities. A GCC founder therefore usually registers through the Saudi Business Center without investment registration, except for a limited list of activities reserved for Saudis. An existing GCC company can also open a branch in the Kingdom with its parent company's CR and a resolution to open the branch. Details are on our page for GCC investors.

3. Foreign investors with an existing company

This is the regular route for foreign direct investment. The foreign company registers with MISA first, then issues the CR for the new Saudi company or branch. The application rests on the foreign company's CR and its financial statements for the last fiscal year, both attested by the Saudi embassy, plus the requirements of the activity itself.

Foreign ownership can reach 100% in activities open to foreign investment. Some activities carry a minimum capital, a minimum Saudi participation or extra conditions; we confirm these with you before filing. 4. Entrepreneurs: the Entrepreneur License

If you have an innovative or technology-based idea that can grow, and no existing company abroad, your route is the Entrepreneur License. MISA's guide calls it Registration for Entrepreneurial Establishments. It does not require a foreign company's CR or prior financial statements. Instead, it requires a support letter from a supervising body: a Saudi university or an accredited business incubator such as Jewark, which offers this service. The letter includes the activity code and the ownership details.

How to Set Up a Company in Saudi Arabia: Step by Step

  1. Study the idea and choose the route: we define the entity, the activity and its code in the national classification of economic activities (ISIC4), and check whether the activity is open or restricted and what it requires.
  2. Prepare the documents: collect them, have them translated into Arabic by a certified translator, and have documents issued abroad attested by the Saudi embassy in the issuing country.
  3. Investment registration (foreign investors and entrepreneurs): apply online with MISA. After approval, the registration fee must be paid within the period MISA sets, or the registration is void.
  4. Reserve the trade name: the Trade Names Law allows reservation before registration and bars a name identical or similar to another establishment's, even in a different activity.
  5. Articles of association: draft and notarize them through the Saudi Business Center, setting out the partners, capital, management and profit distribution.
  6. Issue the commercial registration: the CR is issued online by the Ministry of Commerce under the unified national number. The establishment is then registered automatically with the Ministry of Human Resources, ZATCA, GOSI, the national address service and the chamber of commerce.
  7. Zakat and tax: complete the registration on the Zakat, Tax and Customs Authority (ZATCA) portal, register for VAT once the registration threshold applies, and activate e-invoicing.
  8. Qiwa and GOSI: the establishment file appears on Qiwa under the unified national number. Qiwa handles electronic employment contracts, visas, work permits and Saudization ratios. Employees are registered with the General Organization for Social Insurance (GOSI).
  9. Muqeem and residencies: through Muqeem, the platform of the General Directorate of Passports, the company manages residence permits for the manager and non-Saudi staff, as well as exit and re-entry visas.
  10. Bank account and national address: open the corporate bank account and link it to the CR, and activate the establishment's national address.
  11. Activity licenses: the municipal license through Balady, civil defense certification and any sector license the activity needs. The licenses required vary by activity.

Documents Required for Company Formation in Saudi Arabia

Saudi investors

  • National ID and sign-in through Nafath.
  • Partner and manager details, capital and national address.

GCC investors

  • ID card or passport, if the investor's details are not on the Absher system.
  • For a branch: the parent company's CR and the resolution to open the branch, attested.

Foreign investors (regular route)

  • The foreign company's CR attested by the Saudi embassy, with the CR of its parent company if the parent's nationality differs.
  • Financial statements for the last fiscal year, attested by the Saudi embassy.
  • A partners' or board resolution to establish the company in Saudi Arabia, passports of the partners and manager, and a power of attorney.

  • Premium Residency holders are exempt from the foreign company's documents and financial statements.

Entrepreneurs (Entrepreneur License)

  • A support letter from a supervising body (a Saudi university or an accredited business incubator such as Jewark, which offers this service) stating the activity code and ownership details.
  • Passport.
  • If the applicant is a company: a board resolution to register in Saudi Arabia and its attested CR.
  • If the applicant lives in Saudi Arabia: a no-objection letter from the employer and a copy of the residence permit.

How Long Does Company Formation in Saudi Arabia Take?

There is no single timeline for every case. It depends on the route, how complete the documents are and the activity. The longest part is usually preparing and attesting foreign documents abroad.

  • Investment registration: the Implementing Regulations of the Investment Law set a short notification period once a complete application for a non-excluded activity is filed.
  • Entrepreneur License: it varies with the procedures and the nature of the idea. Some are issued within 10 days and others take more than 20 days, after the idea has been studied.
  • Commercial registration: issued online once the data is complete, the articles are notarized and the fees are paid.
  • After the CR: the bank account, residencies and municipal and sector licenses each have their own timing.
