Company Formation for Saudi Investors

We set up your company or sole proprietorship in Saudi Arabia, from choosing the entity to activating it with every authority, with no investment registration and no hassle.

Company formation for Saudi investors: the full picture

Saudi investors have the shortest formation route in the Kingdom. As long as every partner is Saudi, no investment registration with the Ministry of Investment (MISA) is needed, and the commercial registration (CR) is issued online through the Saudi Business Center. A simple procedure does not make the decision simple, though. Before you apply, three questions need answers: which entity fits your activity and plans, how the articles of association should protect the partners, and which licenses your activity needs after the CR.

At Jewark we study your idea and activity first, recommend the right entity, then prepare and follow up the application until the CR is issued and the business is active with every authority.

Who is this route for?

  • A Saudi national starting a commercial or service business for the first time.
  • A sole proprietor who wants to convert to a company and separate personal assets from the business's obligations.
  • Saudi partners forming a company together.
  • Saudi and GCC partners: the same treatment applies in most activities. See our page on company formation for GCC investors.
  • If a non-GCC foreign partner joins, the route becomes foreign investment and investment registration is required. See our page on company formation for foreign investors.

Requirements for Saudi investors

  • The CR owner or managing partner must be at least 18 years old.
  • The activity must be permitted and listed in the activities guide, with its conditions met.
  • A national address for the business and valid contact details.
  • Capital suited to the activity and the chosen entity.
  • Government employees face legal restrictions on engaging in trade and managing businesses. We review your situation before applying and explain your options.

Which entity should you choose?

EntityBest forLiability
Sole proprietorshipA small business run by its ownerThe owner is personally liable for the business's obligations
Limited liability company (one or more partners)Most small and medium projectsEach partner's liability is limited to their share of capital
Simplified joint stock companyStartups planning to bring in investorsLimited to the value of the shares, with flexible management and share issuance
General or limited partnershipPartners who know each other and accept personal liabilityGeneral partners are personally liable
Joint stock companyLarge projects and those heading for a listingLimited to the value of the shares, with stricter governance

The Companies Law, in force since 19 January 2023, allows a single-partner LLC and introduced the simplified joint stock company. That is why we ask about your plans before recommending an entity: will you add partners later? Will you raise investment? Does your activity need a sector license? The answers decide the entity, and the entity decides your liability and how you run the business.

Steps to form a company as a Saudi investor

  1. Consultation and case review: activity, entity, partners, capital and activity requirements.
  2. Trade name reservation: a name that meets the Trade Names Law, with backup options.
  3. Articles of association: we draft the clauses on management, profit distribution, share transfers and partner exit to protect every partner, then the articles are notarized through the Saudi Business Center.
  4. CR issuance: issued online with the unified national number. The business is registered automatically with the Ministry of Human Resources, the Zakat, Tax and Customs Authority (ZATCA), the General Organization for Social Insurance (GOSI), the National Address and the Chamber of Commerce.
  5. Bank account: open the business account and link it to the CR. Linking is mandatory.
  6. Activity licenses: municipal license, civil defense certificate and any sector licenses the activity needs. They vary by activity.
  7. Operations: activate the business file on Qiwa and GOSI, register for VAT once the threshold is reached, and activate e-invoicing.

Required documents

  • National ID of the owner or partners, with login through the National Single Sign-On (Nafath).
  • The proposed trade name; we suggest alternatives with you.
  • A clear description of the activity to set its codes in the activities guide.
  • Capital and the split of shares between partners.
  • Manager details and powers.
  • National address and contact details.
  • Any prior license the activity requires before CR registration.

After the CR

  • Annual confirmation of CR data: since 3 April 2025 the CR has no expiry date, and an annual confirmation of its data replaces renewal.
  • Zakat: a Saudi partner's share is subject to zakat, not income tax, with an annual return.
  • VAT and e-invoicing once their conditions apply.
  • Saudization: meeting Nitaqat ratios when hiring non-Saudi staff.
  • Updating the CR whenever partners, manager, capital or activities change.

Common mistakes we help you avoid

  • Choosing a sole proprietorship for a risky activity or one with likely partners, leaving the owner personally liable.
  • Using a generic template for the articles that ignores share transfers, partner exit and management deadlock.
  • Choosing activities that do not match the actual business, which blocks licenses later.
  • Missing the CR's annual confirmation, which leads to suspension.
  • Starting operations before obtaining activity licenses.

Frequently asked questions

Do Saudi investors need a license from the Ministry of Investment?

No. Saudis register directly through the Saudi Business Center. Investment registration is only needed if a non-GCC foreign partner joins.

What is the difference between a sole proprietorship and an LLC?

A sole proprietorship has no legal personality separate from its owner, who is personally liable for its obligations. An LLC has its own legal personality, each partner's liability is limited to their share, and it can be formed with a single partner.

Can I convert my sole proprietorship into a company?

Yes. We arrange the conversion so that assets, contracts and staff move to the company, and we update the CR and the related registrations.

Can a government employee form a business?

Government employees face legal restrictions on engaging in trade and managing businesses. We review your situation before applying and explain your options.

Does the CR expire?

No. Since 3 April 2025 an annual confirmation of data replaces renewal, and we remind you when it is due.

Do I need to be there in person?

Most procedures are online through Nafath, and we handle the rest under a power of attorney. Opening the bank account may require your presence.

Do I need premises for the company?

A national address is required, and some activities need premises for the municipal license. We offer offices and workspaces at our Riyadh headquarters when needed.

How much does it cost to form a company as a Saudi investor?

Two parts: government fees, and Jewark's fees after reviewing your case. Your first consultation is free.
