Why the Entrepreneur License?

A route built for founders with scalable, innovative ideas. It is lighter than the regular foreign investment license in Saudi Arabia.

100% foreign ownership

Full ownership and independent management, with no Saudi partner or sponsor.

Your idea is the basis

No existing company abroad and no prior-year financial statements are required.

Capital

In most cases there is no mandatory minimum.

A full legal entity

A MISA license, then a commercial registration in your company's name.

Who Is the Entrepreneur License For?

MISA describes this route as being for entrepreneurs and startups that want to establish innovative, distinguished or emerging technology companies, able to expand and grow, offering a better or different product or service in the Saudi market, and backed by an approved supporting entity. It usually suits:

  • An individual founder living outside Saudi Arabia with no existing company.
  • A resident of Saudi Arabia on an employment residency with a startup idea.
  • A startup abroad that wants to enter the Saudi market with a technology or innovative product.
  • A team of co-founders, with each partner’s share stated in the support letter.

Entrepreneur License Saudi Arabia Requirements in Detail

1 · An innovative or technology-based idea that can grow

It offers a better or different product or service in the Saudi market, not a conventional, repeated activity.

2 · An activity open to investment

Within the national classification of economic activities (ISIC4), meeting the activity’s own conditions.

3 · A support letter from a supervising body

A Saudi university or an accredited business incubator such as Jewark, which offers this service. The letter must state the activity code and the ownership details, for new applications and for amendment requests.

4 · Residents of Saudi Arabia

A no-objection letter from the employer and a copy of the residence permit.

5 · If the applicant is a company

A board resolution to register in the Kingdom and its commercial registration attested by the Saudi embassy. Premium Residency holders are exempt from the CR document.

6 · Fees and annual obligations

The registration fee must be paid within the period MISA sets, or the registration is void, followed by an annual update of the registration.

Entrepreneur License Documents

  • A passport for each founder, with ownership details and each partner’s share.
  • The support letter stating the activity code and ownership details; we issue it for eligible projects.
  • A short presentation of the idea: the product or service, its innovative side, the target customers and the business model. We use it to study the idea before issuing the letter.
  • For residents of Saudi Arabia: the employer’s no-objection letter and a copy of the residence permit.
  • For a company applicant: the attested board resolution and commercial registration, with a certified Arabic translation.
  • After registration: the details for the articles of association (trade name, capital, manager, address) to issue the commercial registration.

MISA Support Letter Issuance

The Support Letter is the document that defines this route. The Ministry of Investment requires the project to be backed by a support letter from a supervising body, such as Saudi universities or accredited business incubators.

Jewark is a business incubator in Riyadh, accredited and licensed by Monsha'at. We issue the Entrepreneur License support letter directly, in our own name, for eligible projects, after studying the idea and assessing its eligibility.

The letter states the project name, the requested activity and its code, the ownership details, and the supervising body’s contact details. The letter is a condition for applying; the registration decision rests with MISA.

What we look at before issuing the letter

  • How clear the idea is, and its innovative or technical side.
  • The project's ability to grow in the Saudi market.
  • An accurate description of the requested activity.
  • Founder and ownership details.

A Business Incubator with a “Project Readiness First” Approach

Many providers focus on paperwork alone. At Jewark we focus on the quality of the file and the readiness of the project, because a license decision rests on a clear idea, an accurate activity description and well-prepared documents, not on submission alone.

Our services are integrated, so you deal with one firm:

  • Idea study and eligibility assessment.
  • Company formation inside and outside Saudi Arabia.
  • Acquisitions and mergers.
  • Legal services.
  • Financial services.
  • Market-entry qualification.

Examples of Activities Eligible for the Entrepreneur License

These are examples of ideas that usually fit the route, not an official list. Eligibility is decided after studying the idea and its business model:

  • Apps, digital platforms and software as a service (SaaS).
  • Artificial intelligence and data analytics.
  • Education technology and e-learning.
  • Technology-based logistics and delivery solutions.
  • Property technology, smart city solutions and the Internet of Things.
  • Clean energy, sustainability and smart agriculture.
  • Video games and digital content.
  • Fintech and health technology, with the additional licenses their regulators require.

Conventional activities, such as a standard restaurant, a retail shop or contracting, do not usually fit this route, and we direct them to the right one.

Timing

It varies with the procedures and the nature of each idea. Some Entrepreneur Licenses are issued within 10 days and others take more than 20 days, after the idea has been studied.

Cost

It has two parts:

  • Government fees set by the competent authorities.
  • Jewark's professional fees, estimated according to the services required, after the idea is studied and the procedures are defined.

We do not quote a figure before assessing the case, because the right figure follows the idea and its route.

After the Entrepreneur License Is Issued: Your Obligations

  • The annual update of the registration with MISA.
  • The annual confirmation of the commercial registration data with the Ministry of Commerce.
  • Activity licenses, issued as your activity requires.
  • Zakat or tax returns on time.
  • Your visa and residency are issued through your company under a profession such as general manager. See our article on entrepreneur residency.
